Terms & Conditions
These Terms & Conditions (“Terms”) govern your access to and use of our website (www.paveHERway.org) (the “Website”), including any subdomains, mobile versions, online portals, associated services, and any other sites or services that post a link to these Terms (collectively, referred to as the “Services”). The Services are offered by Pave HER Way, a nonprofit organization ("PHW," "we," "us," or "our").
1. Acceptance of Terms
By accessing, browsing or otherwise using the Services you acknowledge that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to “you” shall include that organization.
We may update these Terms from time to time. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the Terms at any time, please discontinue your use of the Services.
2. Description of the Services
Our Organization. PHW is a national nonprofit organization committed to funding, mentoring, and connecting women who are building a more just world.
Our Mission. Our mission is to support, empower, and recognize women business leaders and change agents through the administration of grant programs, including through the Change Agent Prize, the Disruptor Award, and other types of financial aid, grants, and awards (each, an “Award Program,” and collectively, the “Awards Programs”). These Awards Programs are meant to advance innovation, leadership, and social impact.
The Services. Through the Services PHW:
- Provides information about our Awards Programs, our organization and our mission.
- Accepts and processes applications for our Awards Programs.
- Communicates with Applicants, Awardees, partners, and the public.
- Publishes news, events, research, and other content related to our mission.
- Facilitates community engagement among women business leaders and change agents.
Relationship of the Parties. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and PHW. Use of our Services (including the Website) does not guarantee eligibility for, or receipt of, any of our Awards Programs or any other type of financial aid, award, grant, or prize.
3. Applicants and Application Materials
This section applies to all individuals or entities who submit applications for any Award Program administered by PHW through the Services (each, an “Applicant”). By submitting any Application Materials (as defined below), you agree to the following additional terms and conditions, in addition to all other provisions of these Terms:
Application Materials. All information, data, documents, documentation, and materials submitted as part of any application (collectively, “Application Materials”) must be truthful, accurate, complete, and not misleading in any material respect. Applicants are responsible for ensuring that all Application Materials remain current and accurate throughout the application review process. If any information changes after submission, the Applicant must promptly notify PHW in writing at legal@paveHERway.org.
By submitting Application Materials, the Applicant grants PHW a non-exclusive, worldwide, royalty-free, perpetual (or for the maximum duration permitted by law), irrevocable license to use, reproduce, modify, adapt, publish, display, and distribute the Application Materials solely for the following purposes:
- Evaluation and processing of the application;
- Administration of the Award Program, including (but not limited to) internal deliberations by review committees and advisory boards;
- Verification of information provided, including through third-party background or reference checks;
- Reporting to PHW’s board of directors, donors, regulatory bodies or other interested parties as required;
- Promotion and publicity of the Award Program and Awardees (only to the extent described in the Award Program materials and any separate media consent); and
- Compliance with applicable legal and regulatory requirements.
Applicant retains all ownership rights in the Application Materials, subject to the license grant in these Terms. PHW will not sell, commercially exploit, or sublicense Application Materials to third parties for purposes unrelated to PHW’s mission and Awards Programs without Applicant’s prior written consent.
Confidentiality of Application Materials. PHW recognizes that Application Materials may contain confidential, proprietary, or sensitive information. Accordingly, PHW will:
- Treat all Application Materials as confidential and limit access to authorized personnel, review committee members, and advisors who have a legitimate need to review such materials;
- Implement reasonable administrative, technical, and physical safeguards to protect Application Materials from unauthorized access, disclosure, or loss;
- Not publicly disclose the identity of Applicants or the contents of their applications without the Applicant's prior written consent, except as required by law or as permitted for Awardees as described below; and
- Retain Application Materials only for as long as reasonably necessary for the purposes described in these Terms and in accordance with PHW’s data retention policy, after which they will be securely destroyed or anonymized.
Eligibility. Each Award Program has its own eligibility criteria. Applicants must meet all of the specific criteria for the applicable Award Program.
To be eligible for an Award Program, you must:
- Identify as a woman;
- Be at least 18 years of age;
- Be a U.S. citizen or legal resident;
- Certify that you are not a relative, officer, employee, or member of the PHW Board of Directors.
PHW reserves the right to request documentation from any Applicant as it deems necessary to verify the Applicant’s age, citizenship or legal residency. Such documentation may include, but is not limited to, government-issued identification, proof of residency, proof of income (or financial need), professional credentials, or other records reasonably related to the specific eligibility requirements. We will never request documentation to confirm your gender identity. By submitting an application, the Applicant consents to PHW’s Privacy Policy. PHW may, in its sole discretion, decline to grant or revoke an Award Program from an Awardee, if the Awardee fails to provide the requested documentation within a reasonable timeframe (or if the documentation provided is insufficient to establish eligibility).
Grant Agreement. Awardees will be expected to enter into a written grant agreement with PHW containing key terms and conditions which are separate from these Terms and any other Award Program terms or rules. Each grant agreement governing the use of an award, grant, or prize may vary, depending on the nature of the Award Program and the Awardee.
Reporting. Any Applicant selected to receive funds from PHW as part of an Award Program (each an “Awardee”) will be required to submit a report to PHW (at least annually). In addition, Awardees may be required to meet with and/or correspond with employees of PHW or PHW’s Board of Directors to share updates. If an Awardee fails to provide a report to the satisfaction of PHW, the Awardee may be dismissed from the Award Program and any remaining payments or funds of the Award will be terminated.
Background Checks. PHW reserves the right to perform background checks prior to the determination of Awardees, on the Awardee and key individuals associated with the Awardee’s Application Materials that will require authorization from the individuals and the disclosure of certain personal information. The refusal by the Awardee or the key individuals to provide necessary authorizations or information may disqualify the Applicant.
Publicity. PHW may publicize the results of any Award program, including the names, photographs, biographical information, and business descriptions of Awardees, as well as summaries or excerpts of Application Materials submitted by Awardees through the Services (including the Website), press releases, social media, newsletters, annual reports, donor communications, and other promotional channels (collectively, “Publicity Activities”). Such Publicity Activities are undertaken in furtherance of PHW’s mission and to promote awareness of the Awards Programs.
By submitting an application, each Applicant acknowledges and agrees that, if selected as an Awardee, PHW may use the following Application Materials in connection with the Publicity Activities:
- Awardee’s name, likeness, photograph, and professional biography;
- The name, description, and general nature of the Awardee’s cause, business, project or initiative;
- A general description of the purpose for which the award, grant, or prize was conferred; and
- Quotations or statements provided by the Awardee for promotional use.
PHW will not disclose proprietary business information, trade secrets, financial data, or other confidential information contained in Application Materials as part of any Publicity Activity without the Awardee’s prior written consent.
As a condition of receiving any award, grant, or prize, Awardee may be required to execute a separate media release and consent form (“Media Release”) prior to the public announcement of their selection. The specific terms and scope of the Media Release will be provided to the Awardee prior to execution and may vary by Award Program. An Awardee’s refusal to execute a reasonable Media Release may, in PHW’s sole discretion, result in the withholding or revocation of an award, grant, or prize.
Nothing in this “Publicity Activities” section limits the confidentiality protections afforded to non-selected Applicants under these Terms. The publicity rights described herein apply solely to Awardees and only to the extent consistent with the license granted in these Terms and any separately executed Media Release.
Disqualification. PHW reserves the right in our sole discretion to disqualify any Applicant or Awardee who is found to be tampering with the entry process or the operation of any Award Program, to be acting in violation of these Terms or any Award Program rules, or to be acting in a disruptive manner, or with the intent to disrupt or undermine the legitimate operation of an Award Program, or to annoy, abuse, threaten, or harass any other person. PHW reserves the right to disqualify any Applicant or Awardee who violates these Terms, any applicable Award Program rules, or any standards of behavior expressed or implied in them.
4. Intellectual Property
PHW Content. All content on the Services, including but not limited to text, graphics, logos, trademarks, service marks, trade names, images, photographs, illustrations, audio and video clips, software, data compilations, page layout, underlying code, and the overall design and arrangement of the Services (collectively, "PHW Content"), is the property of Pave HER Way or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
PHW grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and the PHW Content solely for personal, non-commercial, informational purposes, or for the purpose of submitting an application to an Award Program. This license does not give you the right to: (A) reproduce, distribute, publicly display, or publicly perform any PHW Content, except as expressly permitted; (B) modify, create derivative works from, or reverse-engineer any portion of the Services; (C) remove, alter or obscure any copyright, trademark, or other proprietary notices; or (D) use any PHW Content for any commercial purpose without our prior written consent.
Your Content. As between an Applicant and PHW, Applicant retains all intellectual property rights in their Application Materials, subject to the license granted in the “Applicants and Application Materials” section. PHW does not claim ownership of Application Materials submitted through the Website.
If an Applicant includes in their Application Materials any content owned by a third party (including, but not limited to, research data, proprietary methodologies, or copyrighted materials), Applicant represents and warrants that they have obtained all necessary rights, licenses, and permissions to include such content and to grant PHW the license set forth in the “Applicants and Application Materials” section.
Feedback and Suggestions. If you provide PHW with any feedback, suggestions, ideas, or recommendations regarding the Services, Website or any Award Program (“Feedback”), you hereby assign to PHW all right, title, and interest to such Feedback. PHW may use, implement, and exploit Feedback for any purpose without obligation, compensation, or attribution to you.
5. Permitted and Prohibited Uses
Permitted Uses. You agree that you will use the Services only for lawful purposes and in accordance with all applicable laws, rules, regulations, and these Terms.
Prohibited Uses. The following is a non-exhaustive list of prohibited uses of the Services.
You agree that you will not perform, facilitate, or engage in any of the following or related prohibited uses:
- Impersonate or attempt to impersonate any person or entity, including PHW, or its employees, representatives, or its affiliates;
- Falsely state or misrepresent your identity or affiliation with any person or entity;
- Use or attempt to use the Services to engage in unauthorized advertising or promotional activities, including but not limited to spam, junk mail, chain mail, or similar materials;
- Engage in any conduct that restricts or inhibits any person's use or enjoyment of the Services, or which, as determined in our sole discretion, that is fraudulent or may harm us or the users of the Services or expose us or others to liability of any kind;
- Use or attempt to use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with another party's use of the Services;
- Use or attempt to use any automated mechanism, such as a robot, spider, scrape, or similar automated technology, process, or means to access or use the Services for any purpose, including monitoring or copying any of the material on the Services;
- Use or attempt to use any manual process or means to monitor or copy any material on the Services or for any other unauthorized purpose;
- Use or attempt to use any device, software, means, or routine that interferes with the proper functioning of the Services, including but not limited to viruses, Trojan horses, worms, logic bombs, or other such materials;
- Circumvent, disable, or otherwise interfere with any security features of the Services;
- Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying algorithms, or architecture of the Services;
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the servers on which the Services are stored, or any server, computer, database, or other system connected to the Services;
- Attempt to attack or attack the Services via a denial-of-service attack or a distributed denial-of-service attack;
- Otherwise attempt to interfere with the proper functioning of the Services;
- Make unauthorized use of any of the PHW trademarks, service marks, or other protected intellectual property;
- Use the Services in any way that violates any applicable federal, state, or local laws, rules, or regulations;
- Submit Application Materials that contain unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable content;
- Any other activities that, in our sole judgment, may be objectionable, abusive, or contrary to these Terms;
We reserve the right to terminate your ability to use our Services, and block or prevent your access to and use of our Services without notice and in our sole discretion.
6. Privacy
As detailed in our Privacy Policy, we may collect certain personal information related to your use of the Services. We encourage you to avoid sharing personal information that is not necessary or requested during your interactions with the Services (and please do not share sensitive personal information).
7. Disclaimers of Warranties
YOUR USE OF THE SERVICES, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK. THE SERVICES, THE CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
WE DO NOT MAKE ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, WE DO NOT REPRESENT OR WARRANT THAT THE SERVICES, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
TO THE FULLEST EXTENT PROVIDED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
Availability, Errors, and Inaccuracies. WE ASSUME NO LIABILITY FOR THE AVAILABILITY, ERRORS, OR INACCURACIES OF THE INFORMATION, OR SERVICES PROVIDED ON THE SERVICES. WE MAY EXPERIENCE DELAYS IN UPDATING INFORMATION ON THE SERVICES AND IN OUR CONTENT ON OTHER WEBSITES. WE EXPRESSLY RESERVE THE RIGHT TO CORRECT ANY ERRORS ON THE SERVICES.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PHW, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SERVICE PROVIDERS OR LICENSORS (“PHW PARTIES”) BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF, RELATING TO, OR IN ANY WAY CONNECTED WITH: YOUR ACCESS TO, DISPLAY OF OR USE OF THE SERVICES OR WITH THE DELAY OR INABILITY TO ACCESS, DISPLAY, OR USE THE SERVICES, INCLUDING BUT NOT LIMITED TO YOUR RELIANCE UPON OPINIONS OR INFORMATION APPEARING ON THE SERVICES; ANY COMPUTER VIRUSES, INFORMATION, SOFTWARE, LINKED WEBSITES OPERATED BY THIRD PARTIES, PRODUCTS OR SERVICES OBTAINED THROUGH THE SERVICES; ANY APPLICATION OR PARTICIPATION IN ANY AWARD PROGRAM; ANY DECISION BY PHW REGARDING THE SELECTION OR NON-SELECTION OF APPLICANTS; ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR APPLICATION OR PERSONAL INFORMATION; LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON A THEORY OF NEGLIGENCE, CONTRACT, TORT, STRICT LIABILITY, CONSUMER PROTECTION STATUTES OR OTHERWISE, EVEN IF THE PHW PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
9. No Guarantee of Award
Pave HER Way makes no guarantees or representations that any Applicant will be accepted into an Award Program or otherwise receive an award, grant, or prize. All decisions related to an Award Program or any other award, grant, or prize are made in PHW’s sole discretion, based on our own evaluation criteria and all decisions are final. Submission of an Application does not create any entitlement to any award, grant or prize, or any obligation on the part of PHW to confer such award, grant, or prize.
10. Indemnification
You agree to indemnify, defend, and hold harmless the PHW Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (A) your use of or access to the Services; (B) your violation of these Terms; (C) your violation of any applicable law or regulations; (D) your Application or any content you submit through the Services; or (E) your negligence or willful misconduct.
This indemnification obligation shall survive the termination of these Terms and your use of the Services.
11. Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY, AS IT AFFECTS YOUR LEGAL RIGHTS.
Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact PHW at legal@paveherway.org and provide us with a written description of your dispute. You then agree to make a good faith attempt to resolve your dispute informally for a period of at least sixty (60) days after PHW’s receipt of your written description. You agree to the further dispute resolution provisions below.
Arbitration. You agree that the sole and exclusive forum and remedy for any and all disputes and claims that cannot be resolved informally and that relate in any way to or arise out of your interactions with PHW or the Services, shall be resolved in final and binding arbitration, except to the extent that either party has in any manner infringed upon or violated or threatened to infringe upon or violate the other party’s or any third party’s patent, copyright, trademark, trade secret, privacy or publicity rights, in which case both parties acknowledge that arbitration is not an adequate remedy at law and that injunctive or other appropriate relief may be sought by the aggrieved party. You and PHW acknowledge that the Services affect interstate commerce and that the Federal Arbitration Act and federal arbitration law apply to arbitrations under this agreement (despite any other choice of law provision).
Arbitration under this agreement shall be conducted by the American Arbitration Association (the “AAA”). Discovery shall be governed by the AAA rules; however, the arbitrator shall have discretion to permit reasonable discovery, including document requests and depositions, as necessary to ensure a fair resolution of the dispute provided such discovery does not exceed the limits set forth in the rules. For claims of less than $75,000, the AAA’s Supplementary Procedures for Consumer-Related Disputes will apply; for claims over $75,000, the AAA’s Commercial Arbitration Rules will apply. The AAA rules are available at www.adr.org or by calling 1-800-778-7879. Upon your filing of the arbitration demand, we will pay all filing, administration and arbitrator fees for claims that total less than $75,000. For claims that total more than $75,000, the payment of filing, administration and arbitrator fees will be governed by the AAA Commercial Arbitration Rules. You and PHW agree to pay our own other fees, costs, and expenses, including those for any attorneys, experts, and witnesses, except as otherwise provided by applicable law. An arbitrator may award on an individual basis any relief that would be available in a court, including injunctive or declaratory relief and attorneys’ fees. In addition, for claims under $75,000 as to which you provided notice and negotiated in good faith with PHW as required above before initiating arbitration, if the arbitrator finds that you are the prevailing party in the arbitration, you will be entitled to a recovery of reasonable attorneys’ fees and costs. Except for claims determined to be frivolous, PHW agrees not to seek an award of attorneys’ fees in arbitration even if an award is otherwise available under applicable law. As a limited exception to the agreement to arbitrate, you and we agree that you may take claims to small claims court, if your claims qualify for hearing by such court.
Arbitration shall take place in Los Angeles County, California, unless the parties mutually agree otherwise or applicable law requires a different venue.
Right to Opt-Out. YOU HAVE THE RIGHT TO OPT-OUT OF THIS ARBITRATION AGREEMENT. IF YOU DO NOT AGREE TO THIS MANDATORY ARBITRATION PROVISION WITH REGARD TO ANY PARTICULAR INTERACTION WITH PHW OR THE SERVICES, THEN WITHIN THIRTY (30) DAYS FROM THE DATE OF SUCH INTERACTION, YOU MAY OPT-OUT OF THIS PART OF THE AGREEMENT BY SENDING AN EMAIL TO LEGAL@PAVEHERWAY.ORG. Any opt-out received after the thirty (30) day time period will not be valid and you must pursue your claim via arbitration, pursuant to these Terms.
Class Action and Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NO ARBITRATION OR OTHER CLAIM UNDER THIS AGREEMENT SHALL BE JOINED TO ANY OTHER ARBITRATION OR CLAIM, INCLUDING ANY ARBITRATION OR CLAIM INVOLVING ANY OTHER CURRENT OR FORMER MEMBER OF PHW, OR USER OF THE SERVICES, AND NO CLASS ARBITRATION PROCEEDINGS SHALL BE PERMITTED. In the event that this Class Action Waiver is deemed unenforceable, then any putative class action may only proceed in a court of competent jurisdiction and not in arbitration. Notwithstanding the foregoing, nothing in this arbitration agreement shall be construed to preclude you from seeking public injunctive relief in any forum, whether in arbitration or in court, to the extent such relief is authorized by applicable law.
IMPORTANT: PLEASE READ THE FOLLOWING PARAGRAPH CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.
WE BOTH AGREE THAT, WHETHER ANY CLAIM IS IN ARBITRATION OR IN COURT, YOU AND PHW BOTH WAIVE ANY RIGHT TO A JURY TRIAL INVOLVING ANY CLAIMS OR DISPUTES BETWEEN US.
Timing. In no event shall any claim, action or proceeding by you related in any way to your interactions with PHW or the Services, be instituted more than one (1) year after the cause of action arose, except where applicable law provides for a longer limitations period that cannot be shortened by agreement, in which case such longer period shall apply.
Governing Law. These Terms will be governed and construed in accordance with the laws of the State of California, U.S.A., without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the State of California.
12. Termination
We reserve the right to suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including but not limited to:
- Violation of these Terms or any applicable law;
- Engaging in any prohibited activity described in these Terms;
- Conduct that we determine, in our sole discretion, is harmful to PHW, other users, or the communities served by the Services; or
- Failure to comply with our Privacy Policy.
Upon termination, your rights to access and use the Services will immediately cease. We may (but are not obligated to) provide you with notice prior to termination. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to the Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.
13. Additional Terms
Entire Agreement. These Terms, together with the Privacy Policy and any applicable Award Program guidelines or rules, constitute the entire agreement between you and PHW regarding your use of the Services and supersedes all prior or contemporaneous agreements, communications, or representations, whether oral or written.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms without affecting the validity or enforceability of the remaining provisions.
Waiver. PHW’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer any rights or obligations under these Terms without PHW’s prior written consent. PHW may freely assign or transfer these Terms, in whole or in part, without restriction or notice.
Force Majeure. PHW shall not be liable for any failure or delay in performing its obligations under these Terms or in administering any Award Program if such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, strikes, utility failures, cyberattacks, or other force majeure events.
